Terms of Service

1. Acceptance of Terms

By creating an account, installing our browser extension, or otherwise using the Service, you agree to these Terms. If you do not agree to these Terms, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

BrainExtension.ai is a personal knowledge management platform that allows you to:

• Capture and save web pages using our browser extension.
• Organize saved content into collections ("brains"), folders, and tags.
• Search across your saved content using AI-powered semantic search.
• Chat with your saved knowledge using AI assistants.
• Share brains with other users (Premium plan).

3. Accounts

To use the Service, you must create an account by providing a valid email address and password.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Subscriptions and Payments

The Service is available in two tiers:

• Free: one personal brain, up to 20 memories, AI search and chat, browser extension.
• Premium ($9/month or $90/year): multiple brains, higher memory limits per brain, brain sharing, and priority support.

Premium subscriptions are billed in advance on a monthly or annual basis through our payment processor, LemonSqueezy. You may cancel your subscription at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current billing period, and you will continue to have access to Premium features until that period ends. We do not provide pro-rated refunds for partial billing periods or for time remaining after cancellation.

EU right of withdrawal. If you are a consumer residing in the European Union, European Economic Area, or United Kingdom, you have a statutory right to withdraw from a paid subscription within 14 days of purchase without giving any reason. However, because the Service is a digital service delivered immediately upon subscription, you expressly acknowledge and agree that by starting to use Premium features during the withdrawal period you request immediate performance and thereby lose your right of withdrawal under applicable consumer law. We reserve the right to change our pricing at any time. We will provide at least 30 days' notice of price changes to existing subscribers.

5. Your Content

You retain ownership of all content you capture, upload, or create through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to store, process, and display Your Content solely for the purpose of providing the Service to you.

You represent and warrant that you have the right to capture and store the content you save through the Service, and that doing so does not violate any third-party rights, including intellectual property rights.

We do not claim ownership over Your Content. We do not use Your Content to train AI models or for any purpose other than providing you with the Service.

6. AI-Powered Features

The Service includes AI-powered search and chat features. These features process Your Content using third-party AI models to generate responses. AI-generated responses may not always be accurate, complete, or up to date. You should not rely on AI-generated content as the sole basis for important decisions.

We generate vector embeddings (mathematical representations) of Your Content to enable semantic search. These embeddings are stored alongside your data and are used solely to provide the Service.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Infringe upon the intellectual property rights of others.
• Upload or distribute malware, viruses, or other harmful code.
• Attempt to gain unauthorized access to the Service or other users' accounts.
• Circumvent any rate limiting or access controls.
• Use the Service for any illegal, abusive, or harmful purpose.
• Scrape, crawl, or use automated means to access the Service beyond the intended browser extension functionality.
• Resell or redistribute the Service without our written consent.

Fair use. The Service, including its APIs, AI features, and background jobs, is provided for reasonable personal and organizational use. We may apply rate limits, quotas, and other technical restrictions, and we reserve the right to define what constitutes fair use in our sole discretion. Usage that is excessive, automated, disproportionate compared to typical users, or that imposes undue load on our infrastructure or third-party providers is not permitted.

API abuse. We may, at our sole discretion and without prior notice, throttle, suspend, restrict, remove, or permanently ban any user or account that we believe is abusing, overusing, or otherwise misusing our APIs, AI features, or any other part of the Service — including, but not limited to, exceeding fair use, circumventing limits, generating excessive costs, or engaging in conduct that degrades the Service for others. This right applies regardless of subscription tier and is in addition to any other remedies available to us.

8. Intellectual Property

The Service, including its design, code, branding, and documentation, is owned by BrainExtension.ai and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.

9. Termination

You may close your account at any time by contacting us. We may suspend, restrict, remove, or terminate your account, or ban you from the Service, at any time and for any reason, in our sole discretion — including, without limitation, if you violate these Terms, abuse our APIs or AI features, exceed fair use, engage in conduct that is harmful to other users or the Service, or for any other reason we deem appropriate. Where reasonably possible we will provide notice, but we are not required to do so.

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes. You may request deletion of your data in accordance with our Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy or completeness of any AI-generated content. We are not responsible for the content of third-party web pages you capture through the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRAINEXTENSION.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY EUROS (€50).

Nothing in these Terms excludes or limits our liability for (i) fraud or fraudulent misrepresentation, (ii) death or personal injury caused by our negligence, (iii) gross negligence or willful misconduct, or (iv) any other liability that cannot be excluded or limited under applicable law. If you are a consumer, your mandatory statutory rights remain unaffected by this section.

12. Indemnification

You agree to indemnify and hold harmless BrainExtension.ai and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Belgium, without regard to its conflict of laws provisions. Any disputes arising out of or in connection with these Terms or the Service shall be submitted to the exclusive jurisdiction of the competent courts of Brussels, Belgium.

If you are a consumer habitually resident in the European Union, European Economic Area, or United Kingdom, you benefit from any mandatory provisions of the consumer protection laws of your country of residence, and nothing in this section deprives you of the right to bring proceedings in the courts of that country where applicable law so permits. The European Commission also provides an online dispute resolution platform for consumers, available at ec.europa.eu/consumers/odr.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the updated Terms.

15. Miscellaneous

• Severability: if any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force.
• Waiver: failure to enforce any right under these Terms does not constitute a waiver of that right.
• Entire agreement: these Terms, together with our Privacy Policy, constitute the entire agreement between you and BrainExtension.ai regarding the Service.
• Assignment: you may not assign your rights under these Terms without our written consent. We may assign our rights without restriction.
